Terms and Conditions
By submitting your application form to participate in the Amazon Devices Climate Tech Accelerator (“Accelerator”), you agree to the following terms and conditions in relation to your application for, and if selected, participation in, the Accelerator (“Terms and Conditions”).
1. Selection For the Accelerator
Applications meeting the minimum criteria outlined in the Accelerator website and these Terms and Conditions will be reviewed by various industry experts both within and outside of Amazon, MIT Solve and Newlab (the “Accelerator Team”) for potential participation in the Accelerator. The Accelerator Team may contact you at any stage during the selection process if more information or clarifications about your application materials are needed. Individuals connected in a professional capacity with the Accelerator, the Accelerator Team and their immediate family members, as well as employees and contractors of Amazon.com Services LLC or its affiliates, are not eligible to apply for the Accelerator.
All applications will be judged individually on their merits and based on criteria set by the Accelerator Team and outlined in the Accelerator website. The criteria listed therein is not an exhaustive or hierarchical list and the Accelerator Team may use, and attribute different weight to, different criteria. The Accelerator Team has sole discretion in the selection of applicants for the Accelerator, and all decisions are final. The Accelerator Team has no obligation to provide you with reasons for your acceptance or rejection.
2. Conflict of Interest
You must identify and notify Accelerator Team of any actual, potential, or perceived conflict of interest that you have in relation to this application or your participation in the Accelerator. If you fail to notify, or you are unable or unwilling to resolve the conflict as required by the Accelerator Team, your application may be excluded from further consideration. An existing commercial or legal relationship with a member of the Accelerator Team is not a conflict of interest, but you should include details of the relationship in your application.
3. Confidentiality
By submitting an application to the Accelerator, you agree to provide the Accelerator Team with information about your solutions, assets, business or other affairs in connection with your application to and participation (if selected) in the Accelerator (“Submitted Materials”). You acknowledge and agree that all Submitted Materials provided by you will be reviewed by the Accelerator Team and may be shared with relevant stakeholders for purposes of allowing the Accelerator Team to consider your application and participation in the Accelerator, and Amazon to identify and commence separate discussions about potential commercial or legal relationships with you.
You acknowledge that the Accelerator Team may now have, or in the future may develop or receive, information that is the same as, or similar to, the Submitted Materials, and nothing in these Terms and Conditions prevents the Accelerator Team from using, for any purpose and without compensating you, information retained in the memory of individual members of the Accelerator Team who have had access to the Submitted Materials; provided, however, that your application to and participation (if selected) in the Accelerator does not create a license under any of your copyrights or patents. By applying, you accept that all Submitted Materials are shared at your own discretion, and Amazon and the Accelerator assume no liability for the protection of proprietary data.
Except as otherwise expressly permitted in these Terms and Conditions, Amazon will keep all Submitted Materials confidential and will not disclose the Submitted Materials to any person without your prior consent. This does not apply to information which: (a) is or becomes publicly available without breach of this Terms and Conditions; (b) was known by Amazon prior to its receipt from you; (c) is disclosed to Amazon by any third party; or (d) is independently developed by Amazon without use of any Submitted Materials. These obligations will continue for a period of three years from the application due date.]
4. Intellectual Property Rights
Upon submission, Amazon will own all rights in and to the applications to the Accelerator. You grant each Accelerator Team member a worldwide, perpetual, royalty free, non-exclusive license to use, reproduce, distribute, translate and modify the Submitted Materials in connection with the Accelerator, including the right to distribute the Submitted Materials (or portions thereof) via the Accelerator website and in any other media now known or hereafter developed.
You acknowledge that the management and protection of your intellectual property is your sole responsibility, both during the application phase and if selected as a participant, during your participation in the Accelerator.
5. Misleading Claims, Improper Assistance and Anti-Competitive Conduct
In preparing your application and participating in the selection process you must not: (a) make any false or misleading claims, statements or other representations; (b) engage in any collusion, anti-competitive conduct or any other similar conduct with any other person; (c) use the improper assistance of any employee of the Accelerator Team, or any improperly obtained information; and (d) violate any applicable laws regarding the offering of inducements.
6. Accelerator Team Rights
The Accelerator Team reserves the right at any time and for any reason to: (a) suspend, vary, amend or cease to proceed with the Accelerator selection process or Accelerator; (b) vary or amend the application form or evaluation criteria; (c) consider and accept or reject any application that is non-conforming or received after the closing time; (d) vary or extend any time or date relevant to the selection process or Accelerator; (e) call for new applications; (f) terminate participation in the selection process by any applicant; (g) allow any applicant to change its application; (h) publish or disclose your company name whether successful or unsuccessful; or (i) take such other action that it, at its discretion, considers to be appropriate. The Accelerator Team may also terminate or make changes to the Accelerator, in each case for any reason at any time. You will be given notice of such termination or changes.
The Accelerator Team reserves the right to terminate your involvement in the Accelerator at its sole discretion if: (a) you breach these Terms and Conditions; (b) you are already participating, or have agreed to participate, in another accelerator program; (c) you provide false information, fail to provide information, conspire with others to gain an unfair advantage or is otherwise involved in any conduct that involves manipulating, interfering or tampering with the Accelerator or otherwise preventing the conduct of the Accelerator as intended by the Accelerator Team; (d) if your employee(s) engage in inappropriate (as determined by the Accelerator Team) or illegal behavior or are disruptive to overall group cohesion; or (e) in the event of your cessation of business, or if you become the subject of any state or federal bankruptcy, insolvency, or similar proceeding, or make an assignment for the benefit of its creditors.
7. Participation in the Accelerator
If you are selected to participate in the Accelerator you agree to: (a) participate in all Accelerator events, including writing and presenting a PRFAQ and a Integration Assessment (if selected as a finalist); (b) give consent for your company name, trademarks, logos and related descriptions to be associated with this Accelerator and used by the Accelerator Team to promote the Accelerator or themselves; (c) share requested information about your company and products with the Accelerator Team; and (d) commit to attending all Accelerator-related calls, meetings and events with peer participants and with mentors in the Accelerator.
During or at the end of the Accelerator, you may receive the opportunity to engage with Amazon, however, this opportunity is not guaranteed. Any commercial relationships or opportunities you are offered are subject to separate negotiations and agreements with Amazon and do not form part of the Accelerator.
You acknowledge that your participation in the Accelerator is at your sole risk. You may withdraw from the Accelerator at any time by providing advanced written notice to the Accelerator Team. The Accelerator Team will have no liability to you for any loss or damage arising in connection with your application and participation in the Accelerator, including personal injury, property damage or economic loss.
